My name is Scott Duncan, and I am looking to acquire, operate, and grow a single small business for the long term

I am the founder of Bancroft Holding LLC, an entrepreneur-driven private investment firm seeking to acquire a single, profitable, privately held buisness. I believe strongly in sustaining your legacy and helping your employees reach their full potential. Since Bancroft is not a private equity firm, Bancroft provides an excellent succession opportunity to business owners who are ready to exit the business they have worked hard to build.

My Approach

I am looking for a small business that meets the following fundamental criteria:

Location

I am originally from Worcester, MA, and I am looking for a company in New England.

Revenues between $2M and $10M

My firm is backed by a small group of investors who are ready to supply the capital to acquire a single business in this revenue range.

History of profitability

I'm looking for a business with a long track record of profitability - at least three years.

Recurring revenues

I'm looking for a business with a high degree of re-occuring, B2B sales.

Low customer concentration

I'm looking for a company with a broad base of loyal customers, with no single customer accounting for a large percentage of total sales.

Stable growth and EBITDA margins

I'm looking for a business with a history of sustainable growth, EBITDA of $500K to $1.5M and EBITDA margins of 20% or greater.

Strong industry

I'm looking for a business with a defensible position in an industry with low cyclicality.

Barriers to entry

I'm looking for a business with technical, regulatory, financial, or other substantial barriers to entry.

Motivated seller

I'm looking to work with a seller who cares just as much about the long-term success of the company as I do, and is looking to transition out of a full-time role.

Kevin Connors Advisor Kevin Connors is an accomplished entrepreneur and venture investor. He has co-founded seven healthcare technology companies, and has had interim CEO roles in nine. Prior to founding Spray Venture Partners in 1996, Kevin was the founding CEO of Vesica Medical. Under this leadership, was acquired by Boston Scientific Corporation. Prior to Vesica, Kevin led medical device investment activity at DSV Partners in Newport Beach, California. Kevin has served on the Board of Directors of the New England Venture Capital Association and MassMEDIC, the Massachusetts Medical Device Industry Council.

Kevin received a B.S. in Electrical Engineering from the University of Notre Dame, an M.S. in Electrical Engineering from the University of Dayton, and an MBA from the Harvard Business School. Linkedin
Bob Linke Advisor Mr. Linke is the President and CEO of Embera NeuroTherapeutics, Inc. Mr. Linke has 30 years of diversified healthcare experience in pharma/biopharmaceutical, medical device, and diagnostic markets. His experience includes leadership roles developing and commercializing products at both public companies and as an entrepreneur leading private equity-backed companies, including Periodontix, a biotech company, Rapid Micro Biosystems, a diagnostic company, and Embera raising over $60 million in private equity and non-dilutive financing to fund these companies.

Scott Duncan Founder/Principal
 

I founded Bancroft Holding to pursue my dream of owning and operating a small business. I have extensive experience at companies with 30 or less employees, and have worked at a number of small companies in manufacturing and engineering roles. I have an MBA from Harvard Business School and a BS in mechanical engineering from Worcester Polytechnic Institute.

 

In my spare time, I enjoy spending time with my girlfriend and our dog, backpacking in New England, weightlifting, and turning wrenches on old cars.
